This agreement (the “Agreement”) is made on date entered below by and between SIGNEE (entity or person submitting this online form) and GMP&THREE LLC (CLIENT). In consideration of the mutual agreement made herein, both parties agree as follows:
Work: SIGNEE agrees to produce project materials (the “Work”) at the request of the client for fees agreed upon in advance and delivery of the Work by an agreed-upon deadline. SIGNEE agrees that he/she will be the sole author of the Work, which will be original work and free of plagiarism. SIGNEE will cooperate with Client in editing and otherwise reviewing the Work prior to completion and launch.
Confidentiality: SIGNEE acknowledges that he/she may receive or have access to information which relates to the Client’s past, present, or future products, vendor lists, creative works, marketing strategies, pending projects/proposals, and other proprietary information. SIGNEE agrees to protect the confidentiality of the Client’s proprietary information and all physical forms thereof, whether disclosed to Virtual Assistant before this Agreement is signed or afterward. Unless strict confidentiality is requested by Client in advance of the establishment of this contract, SIGNEE can display materials and final work created for GMP&THREE LLC.
Compensation: GMP&THREE LLC agrees to pay SIGNEE $6.00 per hour as agreed upon previously. Invoices will be sent weekly or by project at the discretion of SIGNEE. An itemized invoice will be sent to GMP&THREE LLC along with payment link. All payments are due upon receipt unless alternate arrangements are made should a problem arise. SIGNEE is responsible for the payment of all federal, state, and/or local taxes with respect to the services he/she performs for the client as an independent contractor. SIGNEE will not be treated as an employee for any purpose.
Client Approval: Upon acceptance of the Work, GMP&THREE LLC accepts responsibility for any further processes in which this work is used. SIGNEE is not responsible for errors occurring in this work or projects related to this work after acceptance of the Work by the Client.
Cancellation: Both parties understand that GMP&THREE LLC or SIGNEE may terminate the service at any time if, for any reason, the relationship is deemed unsatisfactory by either party. Upon written or verbal cancellation, GMP&THREE LLC is responsible for payment for all expenses incurred and any work done towards the completion of the project based on the percentage of the project completed that is determined by SIGNEE. Should GMP&THREE LLC cancel the project following its completion, GMP&THREE LLC is responsible for full payment as per the agreed upon hourly rate. In the event of cancellation, GMP&THREE LLC retains ownership of all copyrights and original work created.
Business Hours: Monday – Friday, 9am – 5pm, Pacific Standard Time. Night and weekend business hours will be reserved for urgent situations and agreed on a case by case basis by CLIENT AND SIGNEE.

Vacation/Holidays: Email notifications will be sent to CLIENT when SIGNEE will be unavailable during normal business hours due to personal vacation days and/or holidays.
Acceptance of Terms: GMP&THREE LLC promises to pay for the services rendered by SIGNEE for the Work as agreed upon. By signing below, GMP&THREE LLC agrees they have read, understood, and are considered legally bonded to these terms.
